Please read these Terms of Use ("Terms") carefully before using the Philanthropia website or services.

These Terms of Use ("Terms" or "Terms of Use") constitute an agreement between you ("you" or the "user") and Philanthropia Charitable Giving Fund, a Pennsylvania nonprofit corporation and its affiliates, subsidiaries or assigns (collectively, "Philanthropia," "we," "us" or "our"). This website, https://philanthropia.io/, (the "Site") is owned and operated by Philanthropia. Access and use of this Site, and our services provided through the Site and offline (together, the "Services") are provided by Philanthropia to you on condition that you accept these Terms of Use. By accessing or using the Services, you signify that you have read, understand, and agree to be bound by these Terms of Use. If you do not agree to accept these Terms of Use, you may not access or use the Services.

ARBITRATION NOTICE: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE "GOVERNING LAW AND DISPUTE RESOLUTION" SECTION BELOW, AND UNLESS YOU OPT-OUT AS SET FORTH IN THAT SAME SECTION, YOU AGREE THAT DISPUTES BETWEEN YOU AND PHILANTHROPIA OR OTHER PARTIES DESCRIBED HEREIN WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION, AND YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO BRING OR RESOLVE ANY DISPUTE AS OR TO PARTICIPATE IN A CLASS, PRIVATE ATTORNEY GENERAL, REPRESENTATIVE, OR COLLECTIVE ACTION IN COURT OR IN ARBITRATION.

YOU AGREE TO OUR PRIVACY POLICY

Philanthropia has made a commitment to protecting the privacy of those who use the Services. Please review our Privacy Policy, which is incorporated by reference in these Terms of Use. By using the Services, you are consenting to and agreeing to be bound by the Privacy Policy. When you use the Services, you consent to receive communications from us electronically via the Services, email, or otherwise. You agree to provide accurate, current, and complete information about yourself when you use the Services and to update such information while you continue to use the Services.

To the extent permitted by law, Philanthropia reserves the right to automatically process your personal information using technologies that use machine learning and/or artificial intelligence. You further acknowledge that by using certain aspects of the Services, you may be interacting with functions that involve the use of machine learning or artificial intelligence.

USE OF THIS SITE

If you access this Site from outside of the United States, you do so at your own risk and are responsible for compliance with local, national, or international laws. In particular, you understand that this Site, the Services, or both may not be available in all countries and that you are responsible for ensuring that it is lawful for you to use this Site and receive the Services in your location.

Some countries may have laws that forbid participating in the activities we offer on the Site or Services. These restrictions might include a minimum age for using the Internet or entering into contracts like these Terms of Use. You are responsible for making sure you can use this Site and the Services in the location you reside in. Continuing to use the Site represents and warrants to us that you have verified that you are permitted to use the Site and Services in your jurisdiction.

1. Acceptance of Terms and Eligibility

By using the Service, you affirm that you are at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into these Terms. You are accepting these Terms on behalf of yourself or the entity you represent, and you represent that you have the authority to do so. These Terms apply to all users of the Service, including donors and visitors. If you are using the Service on behalf of an organization or entity, you agree to these Terms for that entity and represent that you have the authority to bind the entity to these Terms.

You represent and warrant that you: (a) are above the legal age of majority in your jurisdiction of residence; (b) have not previously been suspended or removed from the Site or our Services; and (c) have full power and authority to enter into these Terms, and in doing so will not violate any other agreement to which you are a party.

2. User Accounts and Conduct

To access certain features of the Service (such as making donations or posting content), you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You agree to notify Philanthropia immediately of any unauthorized use of your account or any other breach of security.

During the registration process, you may be required to choose a user name and enter your email address. You acknowledge and agree that Philanthropia may rely on this email address or user name to identify you. You shall be responsible for protecting the confidentiality of your user name(s), identification numbers, and/or password(s), if any. You are responsible for all use of your Account, regardless of whether you authorized such access or use, and for ensuring that all use of your Account complies fully with the provisions of these Terms of Use. You must not choose a username that infringes the rights of any third party or which is offensive, racist, obscene, hurtful, unlawful, or otherwise inappropriate. You agree not to transfer your right to use or access this Site or the Services via your username or password to any third person.

WE HEREBY DISCLAIM ANY AND ALL LIABILITY FOR ANY UNAUTHORIZED USE OF YOUR ACCOUNT FOR WHICH WE ARE NOT RESPONSIBLE.

When using the Service, you agree to abide by the following user conduct rules:

  • You will use the Service only for lawful purposes and in compliance with all applicable laws and regulations.
  • You will not impersonate any person or entity or misrepresent your affiliation with a person or entity.
  • You will not harass, abuse, or harm other users or any third parties, nor will you post or transmit any content that is unlawful, defamatory, obscene, threatening, invasive of privacy, or otherwise objectionable.
  • You will not attempt to interfere with or disrupt the Service (for example, by introducing viruses, spam, or other harmful code).
  • You will not attempt to circumvent any security or access controls of the Service, and you will not data-mine or scrape the Service without permission.

Philanthropia reserves the right to suspend or terminate your account and access to the Service if you violate these conduct standards or any other provision of these Terms.

3. User Content and License

The Service may allow you to submit or post content such as profiles, comments, testimonials, feedback, or other materials ("User Content"). You retain ownership of any intellectual property rights in the User Content that you post. However, by submitting or posting User Content on or through our Service, you grant Philanthropia a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sub-licensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your User Content for the purposes of operating, promoting, and improving the Service, and for Philanthropia's marketing and promotional purposes. This license allows Philanthropia to display your content on our site, to use it in presentations or promotional materials, or to otherwise incorporate it into our outreach, without further notice or compensation to you.

You represent and warrant that you have all necessary rights to post the User Content and to grant the above license, and that your User Content (and our use of it) will not infringe or violate the rights of any third party. Philanthropia is not responsible for any User Content and has no obligation to monitor or moderate User Content, but we reserve the right to remove or edit any User Content at our discretion for any reason (including if we believe it violates these Terms or our policies).

You are solely responsible for the content and information (collectively referred to as "User Content") that you post or upload on the Services including feedback or questions. If it is determined that you retain moral rights (including rights of attribution or integrity) in the User Content, you hereby declare that (a) you do not require that any personal data, personal information, personally identifying information, or equivalent term be used in connection with the User Content, or any derivative works of or upgrades or updates thereto; (b) you have no objection to the publication, use, modification, deletion and exploitation of the User Content by Philanthropia or its licensees, successors and assigns; (c) you forever waive and agree not to claim or assert any entitlement to any and all moral rights of an author in any of the User Content; and (d) you forever release Philanthropia, and its licensees, successors and assigns, from any claims that you could otherwise assert against Philanthropia, or any of its assigns or affiliates, by virtue of any such moral rights.

4. Donations and Charitable Distributions

Philanthropia provides a platform that enables you to make charitable donations to nonprofit organizations. When you donate through Philanthropia, your donation is received by the Philanthropia Charitable Giving Fund, a donor-advised fund operated by Philanthropia that is a tax-exempt 501(c)(3) charitable organization. Philanthropia then grants those funds to the nonprofit organization(s) you recommend, subject to the terms and conditions below.

By making a donation or using Philanthropia's donation platform, you acknowledge and agree to the following:

  1. Donor-Advised Fund and Grant Recommendations: Your donation is a charitable gift to Philanthropia's donor-advised fund, and you may recommend that Philanthropia regrant the funds to your chosen nonprofit organization. Philanthropia will make every effort to direct your donated funds to the nonprofit you designate. However, as required by law, Philanthropia retains exclusive legal control over all donations and may redirect funds to a similar qualified charitable organization if it is unable to follow your recommendation. This means that if your recommended charity is ineligible or cannot receive the funds for any reason, Philanthropia will use the donation for charitable purposes consistent with your intent (for example, granting to a charity with a similar mission).

  2. No Personal Benefit or Quid Pro Quo: You confirm that your donation is a voluntary gift and that you will not receive any goods, services, or personal benefit in return. In particular, you represent that your donation is not being made to satisfy a legally binding pledge, to gain admission to an event (such as a charity dinner, raffle, or auction), or to pay for any goods or services for you or your family. Philanthropia relies on this representation to ensure compliance with U.S. tax law, which prohibits charitable deductions for donations that confer more than an incidental benefit to the donor.

  3. Donations to Portfolios of Charities: If you choose to donate to a charitable portfolio (a grouping of multiple nonprofits under a collective theme or fund), your donation will be allocated among the nonprofits in that portfolio as of the time of your donation. The allocation will be proportional to the portfolio's specified distribution or, if no specific percentages are provided, divided equally among the listed nonprofits. If a nonprofit in the portfolio is unable to receive funds (e.g. it has lost tax-exempt status or closed), Philanthropia will reallocate that nonprofit's portion of your donation among the other nonprofits in the portfolio, or, if appropriate, to a similar charitable organization in line with the portfolio's purpose. Philanthropia will determine the best means to honor the intent of the portfolio and the donor's contribution.

  4. Disbursement Schedule and Minimum Threshold: Philanthropia generally pools and disburses donations on a monthly basis. Donations made throughout a given month are typically aggregated and prepared for grant disbursement to the recommended charities by the end of that month or in the early part of the following month. To optimize efficiency and reduce administrative costs, Philanthropia may **withhold disbursement to a particular charity until the total amount designated for that charity reaches at least **$1,000**

If the donations directed to a specific nonprofit do not meet this $1,000 minimum threshold in a given month, Philanthropia will hold those funds and carry them forward to subsequent months until the aggregate amount for that nonprofit reaches $1,000. Year-End Distribution: Notwithstanding the above, Philanthropia will ensure that all donor contributions are distributed at least once per calendar year. Philanthropia will conduct a final annual disbursement on or before **December 31** of each year, distributing any remaining accumulated funds to the intended nonprofit recipients (or to alternate similar charities, as described above, if the original nonprofits are not available). This means that even if a particular nonprofit has not yet reached the $1,000 threshold, any undistributed donations intended for that nonprofit will be disbursed by year-end so that donor funds are put to use for charitable purposes within the year.

  1. Platform Fees and Tax Deductibility: Philanthropia incurs platform and processing fees to cover operational costs necessary for maintaining our service. These fees include payments to payment processors, technology vendors, security services, and other essential infrastructure required to operate our donation platform. When making a donation, you have two options regarding these fees:

    • Option 1: Cover the fees yourself (opt-in) - If you choose to cover the platform and processing fees, these will be added to your total payment amount. Regardless of the fee amount, the entire amount you pay (including the fees) is tax-deductible to the extent permitted by law, as the full amount goes to the Philanthropia Charitable Giving Fund, a 501(c)(3) organization.

    • Option 2: Do not cover the fees - If you choose not to cover the fees, your donation amount will be the exact amount you specify, which is fully tax-deductible. However, Philanthropia will deduct the necessary fees from this amount before distributing funds to your recommended nonprofit(s). The fees will be deducted from your donation amount, with the remainder being distributed to the nonprofit(s) you recommended.

In either case, Philanthropia will issue you an IRS-compliant donation receipt for your charitable contributions to the Philanthropia Charitable Giving Fund based on the total tax-deductible amount. (Please consult your tax advisor regarding the deductibility of any contributions in your specific circumstances.)

5. Refund and Chargeback Policies

All donations made through Philanthropia are final and non-refundable. Philanthropia treats your donation as a charitable gift that cannot be canceled or returned once complete. In accordance with U.S. charitable giving laws and industry best practices, donations are irrevocable gifts to the Philanthropia Charitable Giving Fund. Philanthropia will not provide refunds or return donated funds to you except in extraordinary circumstances where required by law or expressly permitted by our policies. For example, a refund may be considered (at Philanthropia's sole discretion) if there was a clear mistake (such as duplicate transactions or a proven case of fraud) and if the funds have not yet been disbursed to a charity. Once donated funds have been re-granted or distributed by Philanthropia to a nonprofit, the donation cannot be reversed or recovered.

Chargebacks (Payment Disputes): If you initiate a chargeback or dispute with your bank or card issuer for a donation, Philanthropia will treat this as a potential refund request and temporarily hold the funds while the dispute is pending. Philanthropia typically withholds the disbursement of disputed donation funds until the end of the month in which the donation was made (or longer, if necessary) to allow time for the chargeback process to resolve. During this period, the affected donation will not be sent to the charity. If the chargeback is resolved in your favor (meaning your payment is refunded by the payment processor), Philanthropia will not disburse those funds to the charity. If the chargeback or dispute is resolved in Philanthropia's favor (or if you cancel the dispute), then the donation will be released and included in the next scheduled disbursement to the intended charity. After funds have been disbursed to a charity, Philanthropia cannot retrieve them on your behalf in the event of a later dispute or change of heart.

6. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, store, and share your personal information. We strongly encourage you to review the Philanthropia Privacy Policy to understand our practices. By using the Service, you consent to the collection and use of information as outlined in the Privacy Policy.

In particular, when you make a donation, you may be asked to provide personal information (such as your name, email, and payment details). This information is used to process your donation and provide you with a receipt. Philanthropia may share certain donor information with the charities you support, as described in the Privacy Policy (for example, providing your name and email to the beneficiary charity, unless you choose to donate anonymously). Philanthropia will handle all personal data in compliance with applicable privacy laws and regulations.

7. Intellectual Property Rights

All content and materials available on the Philanthropia website and Service, including but not limited to text, graphics, logos, button icons, images, videos, software, and trademarks, are the property of Philanthropia or its content suppliers and are protected by copyright, trademark, and other intellectual property laws. Philanthropia grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service and Philanthropia's content for your personal, non-commercial use in accordance with these Terms.

You may not copy, reproduce, distribute, publicly display, or create derivative works from any part of the Service or its content without express written permission from Philanthropia, except as allowed by law (such as brief quotations under fair use). You also may not use Philanthropia's name, logos, or trademarks without our prior written consent. All rights not expressly granted to you in these Terms are reserved by Philanthropia and its licensors.

If you believe that any content on our Service infringes your copyright or other intellectual property rights, please notify us with detailed information so that we can investigate and address your concern (for example, via a DMCA notice for copyright infringement).

Philanthropia respects the intellectual property rights of others, and we ask you to do the same. Philanthropia may, in appropriate circumstances and at our discretion, terminate service and/or access to this Site to users who infringe the intellectual property rights of others. If you believe that your work is the subject of copyright infringement and/or trademark infringement and appears on the Site and/or in the Services, please provide Philanthropia's designated agent the following information:

(a) A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. (b) Identification of the copyrighted and/or trademarked work claimed to have been infringed, or if multiple works at a single online location are covered by a single notification, a representative list of such works at that location. (c) Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled at the Site, and information reasonably sufficient to permit Philanthropia to locate the material. (d) Information reasonably sufficient to permit Philanthropia to contact you as the complaining party, such as an address, telephone number, and, if available, an e-mail address at which you may be contacted. (e) A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright and/or trademark owner, its agent, or the law. (f) A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

8. Disclaimers

Use of the Service is at your own risk. The Service and all information, content, and materials provided on or through the Service are provided on an "as is" and "as available" basis, without warranty of any kind, either express or implied, except as expressly set forth in these Terms. Philanthropia (including its affiliates and partners) expressly disclaims any liability or responsibility for: (a) the accuracy, completeness, or usefulness of any information on the Service regarding any nonprofit organization; (b) whether any nonprofit will use donations in accordance with donor intent or as described by Philanthropia or the nonprofit; and (c) the conduct of any nonprofit organization (or any other third party) that receives funds through the Service. Philanthropia does not guarantee that any charity listed on our platform is eligible to receive donations or that they will continue to qualify for donations; we rely on third-party data (such as IRS records or Guidestar) for charity status and cannot assure that all charities are who they claim to be or will maintain compliance with applicable laws. Responsibility for proper use of donated funds and for compliance with laws applicable to the charity's activities lies solely with the recipient charity.

Philanthropia disclaims all warranties and representations of any kind, whether express, implied, or statutory, including, without limitation, implied warranties of title, merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee any particular outcome or impact from your donation. While we strive to make sure donations are delivered to the intended charities, we make no guarantee as to the timing of the delivery of funds to charities beyond the policies described in these Terms.

PHILANTHROPIA SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY SOFTWARE, COMPUTER VIRUSES OR OTHER DESTRUCTIVE, HARMFUL OR DISRUPTIVE FILES OR PROGRAMS THAT MAY INFECT OR OTHERWISE IMPACT YOUR USE OF YOUR COMPUTER EQUIPMENT OR OTHER PROPERTY ON ACCOUNT OF YOUR ACCESS TO, USE OF, OR BROWSING ON THE SITE OR THE SERVICES OR YOUR DOWNLOADING OF ANY USER MATERIALS OR OTHER CONTENT FROM THIS WEBSITE.

Applicable law may not allow the exclusion of certain warranties, so to that extent, some of the above exclusions may not apply to you. In such cases, any warranties required by law are limited to the shortest period and fullest extent permitted by law.

9. Limitation of Liability

To the fullest extent permitted by law, Philanthropia and its directors, officers, employees, volunteers, affiliates, agents, partners, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages (including, for example, damages for loss of profits, goodwill, use, data, or other intangible losses) that result from the use of, or inability to use, the Service or any content, information, or transactions provided through the Service. This limitation of liability applies whether the claim is based on warranty, contract, tort (including negligence), or any other legal theory, even if Philanthropia has been advised of the possibility of such damages.

In addition, Philanthropia shall not be liable for any delays or failures in performance resulting from acts beyond our reasonable control, such as acts of God, natural disasters, war, terrorism, riots, labor disputes, government actions, interruptions in internet or communication service, power failures, or the failure of third-party service providers (including donation processing platforms).

YOU AGREE THAT NONE OF THE PROTECTED PARTIES (AS DEFINED BELOW) SHALL HAVE ANY LIABILITY TO YOU UNDER ANY THEORY OF LIABILITY OR INDEMNITY IN CONNECTION WITH YOUR USE OF THE SITE AND/OR SERVICES. YOU HEREBY RELEASE AND FOREVER WAIVE ANY AND ALL CLAIMS YOU MAY HAVE AGAINST THE PROTECTED PARTIES (INCLUDING BUT NOT LIMITED TO CLAIMS BASED UPON THE NEGLIGENCE OF ANY OF THE PROTECTED PARTIES) FOR LOSSES OR DAMAGES YOU SUSTAIN IN CONNECTION WITH YOUR USE OF THE SITE AND/OR SERVICES.

If, notwithstanding the other provisions of these Terms, Philanthropia is found to be liable to you for any damage or loss arising out of or in any way connected with your use of the Service or these Terms, Philanthropia's total cumulative liability shall in no event exceed the greater of: (a) the total amount of platform fees you have paid to Philanthropia in the six (6) months prior to the event giving rise to the liability (if any), or (b) one hundred U.S. dollars (USD $100). The existence of multiple claims will not enlarge this limit. You acknowledge that the limitations of liability above are an essential basis of the bargain and that Philanthropia would not provide the Service without such limitations.

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages; in such jurisdictions, Philanthropia's liability will be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Philanthropia, its affiliates, and each of their respective directors, officers, employees, volunteers, agents, and partners (collectively, the "Indemnified Parties" or "Protected Parties") from and against any and all losses, liabilities, claims, demands, damages, expenses, or costs ("Claims"), including reasonable attorneys' fees, arising out of or related to: (a) your use of the Service or activities in connection with the Service; (b) your violation of these Terms or any other agreement or policy between you and Philanthropia; (c) your violation of any applicable law or regulation or the rights of any third party (for example, infringing someone's intellectual property or privacy rights); or (d) any User Content or information that you submit, post, or transmit through the Service.

Philanthropia reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (in which case you agree to cooperate with Philanthropia in asserting any available defenses). This indemnification obligation will survive any termination of your account or of the Service.

11. Governing Law and Dispute Resolution

Governing Law: These Terms and any dispute arising out of or relating to these Terms or the Service will be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, USA, without regard to its conflict of law principles. You agree that Pennsylvania law will apply to all matters relating to your use of the Service, and in any dispute between you and Philanthropia.

Arbitration Agreement: You and Philanthropia agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service (including the breach, termination, enforcement, interpretation, or validity of these Terms) shall be resolved exclusively through final and binding arbitration, rather than in court, except as specified below. By agreeing to arbitration, you and Philanthropia are each waiving the right to a trial by jury and the right to participate in a class or representative action.

Arbitration Procedures: The arbitration will be conducted in English and administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules ("Consumer Rules"). The parties shall pay filing, administrative and arbitrator fees in accordance with the Consumer Rules. If you cannot afford to pay your share of the fees and cannot obtain a waiver from the AAA, you can make a written good faith request for a Transaction Party to pay or advance such fees. If the AAA cannot serve and we cannot agree on a substitute, a court with jurisdiction shall select the arbitrator, who will apply the AAA rules and the procedures specified in this Arbitration Provision. The arbitration may be conducted in person in a location in Pennsylvania, or by telephone or video conference, or based solely on written submissions, depending on what is most convenient and agreed upon by the parties. The arbitrator will apply Pennsylvania law (as described above) and may award any relief that a court of competent jurisdiction could award, including injunctive and declaratory relief or damages. The arbitrator will provide a written decision if requested by either party. Judgment on the arbitration award may be entered in any court having jurisdiction thereof.

Exceptions: Notwithstanding the foregoing, either party may choose to bring an individual claim in a small claims court if the claim qualifies for small claims jurisdiction, or to seek injunctive relief in a court of law for claims involving intellectual property infringement or misuse (which shall not be subject to arbitration). In addition, the requirement to arbitrate does not apply to representative actions brought on behalf of the general public (such as certain claims under California law) to the extent such actions are not waivable by law.

Class Action Waiver: All arbitrations shall be conducted on an individual (non-class) basis. You understand and agree that you may bring claims against Philanthropia only in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator shall not have authority to combine or aggregate similar claims or conduct any class or representative proceeding, nor to make an award to any person or entity not a party to the arbitration.

Opt-Out: You have the right to opt out of this arbitration agreement by sending written notice of your decision to opt out to Philanthropia within 30 days of your first use of the Service. The notice must include your name, address, and email address, and an unequivocal statement that you opt out of the arbitration agreement. If you opt out, or in the event the arbitration agreement is deemed unenforceable or not applicable, you agree that the exclusive jurisdiction and venue for any legal proceeding arising out of or relating to these Terms or the Service shall be the state or federal courts located within the Commonwealth of Pennsylvania, and you consent to the exercise of personal jurisdiction in such courts.

This Governing Law and Dispute Resolution section shall survive any termination of the Terms or your use of the Service.

12. Modifications to the Service and Terms
